1. Service Description

InsiderWatch ("the Service") is operated by Wizybit LLC ("we", "us"). The Service provides automated analysis of publicly available SEC EDGAR insider trading filings (Form 4, 13D, 13G), including AI-powered classification, scoring, and alerting.

2. Not Investment Advice

InsiderWatch is not a registered investment adviser, broker-dealer, or financial planner. All scores, signals, classifications, and alerts provided by the Service are for informational purposes only and do not constitute investment advice, financial advice, trading advice, or any other sort of advice. You should not make any investment decision based solely on information provided by this Service.

3. AI Classification Disclaimer

The Service uses artificial intelligence to classify insider roles, transaction intent, and 10b5-1 plan status. These classifications are estimates and may contain errors. AI confidence scores indicate the model's self-assessed certainty but do not guarantee accuracy. You should independently verify any information before making decisions based on it.

4. Data Accuracy

Insider trading data is sourced from SEC EDGAR, which is public domain. While we strive for accuracy, we do not guarantee the completeness, timeliness, or accuracy of the data. Filings may be delayed, incomplete, or contain errors from the original SEC submissions. Past insider trading patterns do not predict future stock performance.

5. Account Terms

You must provide a valid email address to create an account. You are responsible for maintaining the security of your account credentials and API keys. You must not share API keys or allow unauthorized access to your account. We reserve the right to suspend or terminate accounts that violate these terms.

6. Subscription and Billing

Paid subscriptions are billed monthly through Stripe. You may cancel at any time; access continues until the end of the current billing period. Refunds are not provided for partial months. We reserve the right to change pricing with 30 days notice.

7. API Usage

API access is subject to rate limits based on your subscription tier. Excessive use, abuse, or redistribution of data in bulk without permission is prohibited. We reserve the right to throttle or suspend API access for accounts that exceed fair use limits.

8. Limitation of Liability

The Service is provided "as is" without warranty of any kind, express or implied. In no event shall Wizybit LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or trading losses, arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

9. Changes to Terms

We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance of the new terms. Material changes will be communicated via email to registered users.
